Terms of Conditions

These Terms of Conditions (the "Terms") govern your access to and use of the Sokudo website, the Sokudo desktop application, and the related backend services (collectively, the "Services"). Please read them carefully.
1. Acceptance of these Terms
By creating an account, joining the waitlist, downloading the desktop application, or otherwise using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Services.
If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you and that organization.
2. Private beta
Sokudo is currently offered as a free, invitation-only private beta. Access is granted in waves from the waitlist. While in beta:
- The Services are provided at no charge.
- Features may change, break, or be removed without notice.
- Uptime, performance, and data durability are not guaranteed at production levels.
- We may suspend or terminate beta access at any time, with or without notice.
We reserve the right to introduce paid plans, usage limits, or new commercial terms in the future. If we do, we will give you reasonable notice before any new charges apply.
3. Eligibility and accounts
To use the Services you must be at least 13 years old (or the minimum age of digital consent in your country, if higher) and capable of forming a binding contract with us.
You sign in to Sokudo through a third-party identity provider (GitHub, GitLab, or Bitbucket). You are responsible for keeping your account at that provider secure. You must promptly notify us at support@sokudo.dev if you suspect unauthorized use of your account.
You are responsible for everything that happens under your account.
4. Your content
The Services let you create and store content — including workspaces, tasks, chat messages, knowledge items, rules, custom agents, and indexed source code (collectively, "Your Content"). As between you and Sokudo, you retain all rights in Your Content.
You grant Sokudo a worldwide, non-exclusive, royalty-free license to host, copy, transmit, display, and process Your Content solely for the purpose of operating and improving the Services for you. This license is limited to what is necessary to provide the Services — for example, storing your chat history, embedding chunks of your indexed code, or sending your email a status update — and ends when you delete the content or your account, subject to backup retention and the data-retention terms of our Privacy Policy.
We do not use Your Content, your chat history, or your indexed code to train any AI model.
5. Acceptable use
You agree not to use the Services to:
- Violate any law, regulation, or third party's rights, including intellectual-property and privacy rights.
- Upload, index, or process content that you do not have the right to share with us.
- Distribute malware, run denial-of-service attacks, or probe for vulnerabilities except as permitted in section 6.
- Reverse engineer, decompile, or attempt to extract the source code of the Services (except to the extent we cannot prohibit by law).
- Resell, sublicense, or provide the Services to third parties without our written permission.
- Use the Services to generate or facilitate content that is illegal, infringes others' rights, or is intended to harm, defraud, or impersonate others.
- Circumvent access controls, rate limits, or quotas, or use automated tools to access the Services in ways we have not authorized.
We may investigate suspected violations and, at our discretion, remove content, suspend the offending account, or terminate access.
6. Security research
If you believe you've found a security vulnerability in the Services, please report it responsibly to support@sokudo.dev before publicly disclosing. We will work with you in good faith and will not pursue legal action against researchers who follow this process.
7. AI agents and generated output
Sokudo integrates with third-party AI command-line tools and language-model providers (Anthropic, OpenAI, Google, and others). When you run an agent, your prompt is sent from your device directly to your chosen provider; their terms and policies apply to that request.
AI-generated output is provided "as is". It may be inaccurate, incomplete, biased, or unsafe. You are responsible for reviewing, testing, and approving any code or content an agent produces before relying on it, deploying it, merging it, or sharing it with others. Do not use AI-generated output in situations where errors could cause harm without appropriate human oversight.
You are responsible for ensuring that you have the right to send any prompts, context, or files you provide to those providers, and for any credentials or API keys you supply.
8. Third-party services
The Services interoperate with third-party services you choose to connect — for example, your Git host, your operating system's keychain, and the AI providers above. We are not responsible for those third-party services, their availability, or their terms.
9. Our intellectual property
The Sokudo software, branding, documentation, and website (excluding Your Content and any third-party open-source components) are owned by Sokudo and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose, subject to these Terms. We reserve all rights not expressly granted.
10. Feedback
If you send us suggestions, ideas, or feedback about the Services, you grant us a perpetual, irrevocable, royalty-free license to use them for any purpose, without obligation or attribution. You do not waive any rights in your own underlying work product.
11. Termination
You may stop using the Services and delete your account at any time by emailing support@sokudo.dev.
We may suspend or terminate your access at any time if we reasonably believe you have breached these Terms, if continued access would expose us or other users to legal or security risk, or if we wind down the Services or any part of them. On termination, your right to use the Services ends. Sections that by their nature should survive termination — including content licenses, disclaimers, limitations of liability, and dispute resolution — will survive.
12. Disclaimer of warranties
The Services are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by applicable law, Sokudo disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation. You use the Services at your own risk.
13. Limitation of liability
To the maximum extent permitted by applicable law, Sokudo will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, use, goodwill, or other intangible losses, arising out of or related to your use of the Services — even if we have been advised of the possibility of those damages.
During the private beta, where the Services are provided free of charge, our aggregate liability to you for any claim arising out of or related to the Services is limited to one hundred U.S. dollars (US$100). Nothing in these Terms limits liability that cannot be limited by applicable law.
14. Indemnity
You agree to defend, indemnify, and hold harmless Sokudo and its team from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) Your Content, (b) your use of the Services in violation of these Terms or applicable law, or (c) your infringement of any third-party right.
15. Changes to these Terms
We may update these Terms from time to time. If we make material changes we will update the "Last updated" date at the top of this page and, where appropriate, notify you by email or in-product. Your continued use of the Services after the changes take effect constitutes acceptance of the updated Terms. If you do not accept the changes, stop using the Services.
16. General
These Terms, together with our Privacy Policy, are the entire agreement between you and Sokudo regarding the Services. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver of our right to do so later. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
